- Introduction
These Terms and Conditions (the “Agreement”) govern your use of the products and services provided by ORENCloud Sdn Bhd (“ORENCloud”), including our cloud-based services, software, and other related products (collectively, the “Services”). By using our Services, you agree to comply with this Agreement and any additional terms and policies referenced herein.
- User Accounts
To access and use our Services, you must create a user account with ORENCloud. You agree to provide accurate and complete information during the registration process and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account.
- Service Availability
ORENCloud will use commercially reasonable efforts to provide the Services in a timely and reliable manner. However, we cannot guarantee that the Services will be available at all times or that they will be free from errors or interruptions. We reserve the right to modify, suspend, or terminate the Services, or any part thereof, at any time and without prior notice.
- Fees and Payments
You agree to pay all fees associated with your use of the Services as set forth in our pricing plans or as otherwise agreed upon in writing by ORENCloud. All fees are non-refundable, except as required by law or as expressly stated in our policies. You are responsible for all taxes associated with your use of the Services.
- Intellectual Property
ORENCloud and its licensors own all right, title, and interest in and to the Services, including all intellectual property rights therein. You agree not to use the Services in any way that infringes upon the intellectual property rights of ORENCloud or any third party.
- Confidentiality
You acknowledge and agree that the Services and any information provided by ORENCloud, including any technical or business information, is confidential and proprietary to ORENCloud. You agree to maintain the confidentiality of such information and to use it only for the purpose of accessing and using the Services.
- Data Privacy
ORENCloud respects your privacy and is committed to protecting your personal information. Our data privacy policies and practices are set forth in our Privacy Policy, which is incorporated herein by reference.
- Prohibited Activities
You agree not to use the Services in any way that is illegal, harmful, or disruptive to the Services or other users. This includes, but is not limited to, using the Services for spamming, phishing, hacking, or any other illegal or malicious activities.
- Indemnification
You agree to indemnify, defend, and hold harmless ORENCloud and its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services or any breach of this Agreement.
- Disclaimer of Warranties
The Services are provided “as is” and without warranty of any kind, whether express, implied, or statutory, including but not limited to, any warranty of merchantability, fitness for a particular purpose, or non-infringement. ORENCloud does not warrant that the Services will meet your requirements, operate uninterrupted or error-free, or be secure or available at all times.
- Limitation of Liability
ORENCloud shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with this Agreement, even if we have been advised of the possibility of such damages. In no event shall our liability for any direct damages exceed the amount paid by you for the Services during the preceding twelve-month period
